A drafter of contracts (drafter) holds a unique role in the contract life cycle and functions not only as communicator, but also an interpreter expert legal knowledge. In process drafting contracts, there may be bona fide mistakes. The common law provides several mechanisms to protect contracting parties against such mistakes, including overcoming ambiguous language with application contra proferentem rule; or intentional mistakes reflected written by means applying court for rectification, avoiding contractual liability, where poor document design has resulted iustus error. Bona are distinguished from “indifferent draftsmanship” failure fulfil drafter’s professional ethical duties. article proposes framework duties, upholding values Constitution Republic South Africa, 1996; acting interest client, whilst maintaining standards; expected standard conduct; honesty integrity; lawfully legally; conflict interest; confidentiality client information; independence; ensuring that appropriate fees charged, adequate level competencies skills. Failure adhere duties can have significant personal consequences drafter, which include disciplinary action under Legal Practice Act 28 2014 even liability stemming breach statutory duty, between delictual claim.
